Corporate Governance

Directors Goldnev believes that effective corporate governance practices are fundamental to our overall success. Accordingly, we are committed to complying with all applicable practices.
Our Board of Directors, whose mission is to protect the interests of our shareholders, supervises and evaluates management and oversees matters related to our strategic direction, business and operations.
The Board of Directors consists of four people, one of whom is independent.

Committees
The Audit Committee’s primary function is to assist the Board in fulfilling its financial oversight responsibilities by reviewing the financial reports and other financial information provided by Goldnev to regulatory authorities and shareholders. The Committee is also responsible for reviewing the Corporation’s systems of internal controls regarding finance and accounting, as well as its auditing, accounting and financial reporting processes. Marc Dame, Steven Craig and Merrill Moses comprise the Audit Committee. Mr. Moses is independent.
The Reserves Committee is responsible for reviewing the Corporation's oil and gas disclosure, including the creation and review of annual reserve reports by an independent and qualified reserves evaluator. Steven Craig, Merrill Moses and Charlie Chapman comprise this committee. Mr. Moses is independent.
